I want to create a module using ajax control toolkit. I am using the Dotnetnuke 6, VS2010, I am getting the error as " A critical error has occurred. Object reference not set to an instance of an object.".

how to solve thos error? also can anyone please give a step by step process to use ajax control toolkit in dnn module with simple example(just using TextBoxWatermarkExtender1) .

That message usually means that you have an uninitialized variable somewhere. The best way to find it is to set a breakpoint and trace the execution of your module. I would start by setting break point early in the PageLoad event processing for the module.
